As of January 3, 2012, Pengrowth has added a Premium Dividend component to our existing Dividend Reinvestment & Optional Common Share Purchase Plan.
Highlights of the new plans include:
- Allows shareholders to reinvest cash dividends by purchasing additional shares
- Participants have the option to buy up to to Cdn or US $1,000 per month in additional shares
- Shares are priced at a five percent discount to the average trading price (as calculated pursuant to the amended plan) on the applicable dividend payment date.
- For Canadian residents only, under the Premium Dividend component of the plan, a premium cash payment equal to 102 percent of the reinvested dividends.
- Participants do not pay any costs associated with this plan, including brokerage commissions.

Notice of change of Transfer Agent
To Registered Shareholders of Pengrowth Energy Corporation:
Please be advised that effective December 31, 2011, the Transfer Agent and Registrar, Dividend Disbursing Agent and Dividend Re-Investment Plan (“DRIP”) Agent for the Common shares of Pengrowth Energy Corporation (“Pengrowth”) will change from Computershare Trust Company of Canada (“Computershare”) to Olympia Trust Company (“Olympia”).
If you hold shares in a brokerage, bank or other nominee account, no action is required.
If you are a registered shareholder and hold either a physical certificate or have shares in your own name through the Direct Registration System through Computershare, you will receive an information package from Olympia in the next few weeks. This package contains the instructions and forms for registered shareholders to complete and submit to Olympia. Your attention to this package no later than December 30, 2011 is necessary in order to ensure a smooth transition and uninterrupted payment of dividends and/or DRIP shares.
